1. Acceptance of Terms

By accessing or using the Book of Business CRM platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including team administrators, managers, and members who access or use the Service.

Software Vendor Notice: Book of Business CRM is a software product of Round Table Strategy LLC, an independent technology company. Round Table Strategy LLC also operates an insurance practice under Regie Durana. These are separate and independent activities. Purchasing the CRM does not create an insurance or advisory relationship.

No Professional Advice: Nothing in this Service or its AI-generated features (including script generation, AI suggestions, and automated content) constitutes insurance, legal, financial, or compliance advice. You are responsible for ensuring all client communications and business practices comply with applicable laws and regulations in your jurisdiction, including insurance department requirements.

2. Description of Service

Round Table Strategy provides a customer relationship management (CRM) platform designed for professionals who manage client relationships. The Service includes features for managing contacts, tracking client records, organizing team members, and maintaining ongoing client communication.

3. User Accounts

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest user data without authorization
• Use the Service for any illegal or unauthorized purpose
• Resell, sublicense, or redistribute the Service without permission

5. Your Data

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely to provide and improve the Service.

You are responsible for:

• Obtaining necessary consents to store personal information of your contacts
• Maintaining appropriate backups of Your Data
• Complying with applicable data protection laws

6. Team Access and Permissions

If you create or administer a team, you are responsible for:

• Managing team member access and permissions
• Ensuring team members comply with these Terms
• Approving or rejecting membership requests
• The actions of users within your team

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Round Table Strategy LLC and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7a. AI-Generated Content

The Service includes AI-powered features such as script generation, contact summaries, and automated suggestions. These outputs are generated by third-party AI models and may be inaccurate, incomplete, or not appropriate for your specific client or situation.

You must review all AI-generated content before using it in client communications. AI-generated scripts do not constitute professional insurance, legal, or financial advice. Round Table Strategy LLC is not liable for regulatory violations, client complaints, or other consequences arising from your use of AI-generated content without appropriate review.

Your input data (client names, policy details, notes) may be processed by third-party AI services to generate outputs. We do not use your client data to train AI models. See our Privacy Policy for details.

8. Third-Party Services

The Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk and subject to their respective terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUND TABLE STRATEGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Strategy LLC and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Billing, Cancellation & Refunds

Free Trial: All paid plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial with no obligation.

Billing: After your trial ends, you will be charged according to your selected billing cycle (monthly or annual). Charges are non-refundable. You may cancel at any time, and your access will continue until the end of your current billing period.

Refund Policy: Subscriptions are non-refundable. If you cancel, you will not receive a refund or proration for the unused portion of your billing period. However, if you experience issues within the first 14 days of your initial charge, contact us athello@wsbroundtable.com and we will work with you to resolve the situation.

Price Changes: We may change our prices from time to time. Any price changes will apply to billing cycles starting after the change. Founder pricing and promotional rates are locked in for the duration of your continuous subscription.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may request a copy of Your Data within 30 days of termination.

14. Account and Team Deletion

Admin-Only Function: Only team administrators can permanently delete a team account. This function is not available to managers, assistants, or other team members.

The deletion process includes a multi-step confirmation:

• Verification that the requestor is the team owner/admin
• A reminder to export all data before proceeding
• A warning that deletion is permanent and irreversible
• Final confirmation by typing the team name

Permanent Deletion: Once confirmed, all team data including contacts, policies, tasks, team members, and associated records will be permanently removed and cannot be recovered.

Confirmation Email: A confirmation email documenting the deletion will be sent to the admin who performed the deletion.

Non-Admin Requests:Team members who are not administrators may request deletion by providing the admin's email address. We will notify the admin of the request, but only the admin can complete the deletion.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Georgia, United States. By using the Service, you consent to the personal jurisdiction of these courts.

International Users: If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. The Service is operated from the United States and is not intended to subject Round Table Strategy LLC to the laws or jurisdiction of any country other than the United States.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
